Procedure for resignation of director of a company

As you know directors appointed are not forever, anyone of them can resign any time according his/her will.

According to section 168 of Companies Act 2013 a director may resign from his office by giving a notice in writing to the company and the board shall on receipt of such notice take note of the same .

Effective date of resignation shall be

The date mention in the resignation letter or

The date on which such notice received by company whicherver is later

Director file ROC Form Dir-11 for resignation to register of company and company file Form Dir-12

Conslusion

According to companies Act 2013 any directors can resign any time during his tenure ,provided company accept his/her resignation and both file Dir -11 and Dir-12 with registar of corporate affairs whithin 30 days prescribed time limit.
